These Terms of Service (“Terms”) govern your access to and use of the website and programmatic advertising services (the “Services”) provided by TRAFFIC LEADS LTD (“Trafficleads,” “we,” “us”). By engaging our Services or using our website, you agree to these Terms.

1. The Services

Trafficleads is a full-cycle programmatic agency operated by TRAFFIC LEADS LTD (Registration No. HE487637), Ifigeneias 14, 3036 Limassol, Cyprus. We plan, launch, manage, and optimize advertising campaigns on your behalf across programmatic DSPs, social networks, search engines, native ad networks, and push traffic, managed through our centralized platform. Specific scope, channels, budgets, fees, and deliverables for each engagement are defined in a separate order, proposal, or written agreement (“Order”). If an Order conflicts with these Terms, the Order governs.

2. Eligibility and accounts

The Services are intended for businesses. You confirm you are authorized to enter into these Terms on behalf of your company and that the information you provide is accurate and kept up to date.

3. Client responsibilities

You are responsible for: the products, offers, and landing pages you advertise; the legality of what you promote in the relevant markets; providing accurate product, audience, and conversion data; holding the necessary rights to creative assets and materials you supply; and complying with the advertising and data policies of each platform on which campaigns run.

4. Campaign management and results

We apply professional skill and care to plan and optimize campaigns toward your stated business goal — a lead, a sign-up, a form submission, or a sale. Because performance depends on factors outside our control (market conditions, platform policies and auctions, your product and pricing, third-party systems), we do not guarantee specific volumes, costs, or revenue unless expressly stated in an Order.

5. Fees and payment

Fees, media budgets, billing cycles, and payment terms are set out in the applicable Order. Unless stated otherwise, media spend is additional to service fees. Late or missed payments may result in pausing of campaigns.

6. Third-party platforms

Campaigns run on third-party advertising platforms subject to their own terms and policies. We are not responsible for the acts, outages, policy changes, account decisions, or pricing of those platforms.

7. Intellectual property

We retain ownership of our platform, software, methodologies, and underlying technology. You retain ownership of your brand assets and the campaign data you provide. You grant us the rights needed to use your materials and data to deliver the Services for the duration of the engagement.

8. Confidentiality

Each party will protect the other's confidential information and use it only to perform under these Terms.

9. Data protection

Our handling of personal data is described in our Privacy Policy, which forms part of these Terms.

10. Disclaimers

The Services and website are provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of liability

To the maximum extent permitted by law, Trafficleads is not liable for indirect, incidental, or consequential damages, or for lost profits or revenue. Our total aggregate liability arising out of the Services is limited to the service fees you paid to us in the three (3) months preceding the event giving rise to the claim.

12. Term and termination

Either party may terminate an engagement as set out in the applicable Order or on thirty (30) days' written notice. Accrued fees and committed media spend remain payable through the effective termination date.

13. Governing law

These Terms are governed by the laws of the Republic of Cyprus, and the courts of Cyprus have exclusive jurisdiction over any dispute, without regard to conflict-of-laws rules.

14. Changes

We may update these Terms from time to time. Continued use of the Services after changes take effect constitutes acceptance.
